Terms of service

The terms that apply when you order services through MarshallRegistry.com.

Draft for review. Please have these terms checked by your legal adviser before publishing.

1. Services

Caprica International Limited provides company formation and corporate maintenance services for Marshall Islands companies, acting through the licensed registered agent in the Marshall Islands. We do not provide legal, tax or investment advice.

2. Orders and due diligence

An order is placed when you complete the online order form and payment. Every order is subject to name availability and satisfactory due diligence. We may refuse any order without giving reasons.

3. Fees and payment

Fees are as published on our pricing page or quoted in writing, in US dollars, and are paid by card through our payment processor (Stripe) when you order, or by bank transfer against an invoice. Incorporation starts once due diligence is complete. If none of your proposed names is available, we will help you choose another at no extra cost. If we refuse an order, or you cancel before we file with the Registrar, we refund the amount paid less government fees and third-party costs already incurred.

4. Annual renewal

Companies must be renewed each year before the anniversary of incorporation. We send reminders, but you remain responsible for renewing on time. Late renewal may incur penalties charged by the Registrar. If renewal fees remain unpaid we may resign as service provider, and the company may be annulled.

5. Your obligations

You must give accurate information, tell us promptly about changes in directors, shareholders or beneficial owners, keep proper accounting records, and comply with the tax and reporting rules of every country relevant to you and the company. You must not use the company for any unlawful purpose.

6. Bank and account referrals

We may refer you to banks or financial technology platforms. Account opening decisions are made solely by the bank or platform, and we do not guarantee that an account will be opened.

7. Liability

Our liability for any claim is limited to the fees you paid us for the service concerned in the 12 months before the claim. We are not liable for decisions of governments, registries, banks or other third parties.

8. Governing law

These terms are governed by the laws of the Hong Kong Special Administrative Region.
