How to register a Marshall Islands company

Registering a Marshall Islands IBC is done entirely online: order and pay in a few minutes, then complete the details in your client portal. Here is exactly what happens and what you need.

In short: order online with your package and three company names, and pay by card. We confirm your name within one business day and open your client portal account, where you add the directors and shareholders and upload a passport copy and proof of address for each. Once due diligence is complete we register the company, usually within 1 to 3 business days, and send digital documents immediately and the original company kit by courier.

Step by step

  1. Order and pay online (about 3 minutes)

    On the order page, choose your package and any extras, give three name choices in order of preference, and pay securely by card through Stripe. Prefer bank transfer? Ask us for an invoice.

  2. Name confirmation (within 1 business day)

    We check your names with the Registrar and confirm which one is available. At the same time you receive your login for the client portal.

  3. Company details and documents

    In the portal, enter the directors, officers and shareholders and upload the identification documents listed below. Our compliance team reviews them and may ask follow-up questions, as required under anti-money-laundering rules.

  4. Incorporation (1 to 3 business days)

    Once due diligence is complete, we file the Articles of Incorporation with the Registrar of Corporations through the licensed registered agent. The Certificate of Incorporation is issued and your company exists.

  5. Corporate documents and delivery

    We prepare the bylaws, organisational resolutions, share certificates and registers, and upload digital copies to your portal the same day. Originals, and the seal and apostille in the Complete package, are couriered to you, usually within 5 to 10 business days.

Documents required

For each individual

  • Clear colour copy of a valid passport
  • Proof of residential address dated within 3 months (utility bill, bank statement or government letter)
  • Contact details and occupation
  • Source of funds and, if requested, a bank or professional reference

For each corporate shareholder or director

  • Certificate of incorporation and constitutional documents
  • Current register of directors and shareholders, or a certificate of incumbency
  • Board resolution approving the investment or appointment
  • Identification documents for its directors and ultimate beneficial owners

We may ask for certified copies (certified by a lawyer, notary, accountant or bank officer), translations of documents not in English, or a short business plan depending on the activity and countries involved.

Choosing a company name

  • Use Roman characters. The name must end with a limited liability suffix such as Inc., Incorporated, Corp., Corporation, Ltd., Limited, S.A. or N.V.
  • It must be different from existing Marshall Islands company names.
  • Words such as Bank, Insurance, Assurance, Trust, Fund, Foundation, or names suggesting government sponsorship, need special approval or are not permitted.
  • Give us three choices in order of preference. We confirm availability within one business day of your order, and help you pick another at no cost if none is available.
